Pay Monthly Terms and Conditions

  1. Definitions and interpretation

1.1 In these Terms and Conditions the following terms shall have the following meanings:

  1. “Acceptable Use Policy” or “AUP” means the rules for use of the Service as published by Fastsat Ireland from time to time on the Fastsat Ireland Website. Fastsat Ireland may update the AUP from time to time by posting the revised AUP on the Fastsat Ireland Website whereupon You shall be bound by such revised AUP;
  2. “Business Day” means a day (other than a Saturday or Sunday) on which banks are open for general business
  3. “Business Hours” means 8:30 am to 5:30 pm GMT on Business Days;
  4. “Charges” means all charges payable by You to Fastsat Ireland in connection with the supply of the Service and Equipment;
  5. “Cooling-off Period” shall have the meaning ascribed to it in clause 2.5
  6. “Contract” means the contract between You and Fastsat Ireland for the receipt by You of the Services and Equipment which shall include the Registration Form, these Terms and Conditions, any Supplemental Terms and the Acceptable Use Policy;
  7. “Data Allowance” the monthly data allowance included in Your Service as detailed in the Registration Form. Different during Peak and Off Peak times.
  8. “Equipment Charge” means the charge payable by You to Fastsat Ireland for the Equipment;
  9. “Equipment” means the satellite antenna, receiver and any ancillary equipment supplied to You by Fastsat Ireland for You to receive the Service;
  10. “Extended Business Hours” means 8.00 am to 8.00 pm U.K. time on Business Days;
  11. “Group” means any holding company or ultimate holding company or subsidiary of Fastsat Ireland, and any subsidiary of any such holding company or ultimate holding company;
  12. “GB Excess Charge” the charge of £5.99 that applies per GB used in excess of Your Data Allowance in any one month;
  13. “Fastsat Ireland” means Fastsat Ireland Limited with company number 07933152 whose registered office is at Cobham House, 20 Black Friars Lane London, EC4V 6EB and shall include any member of its Group and any successors-in-title or permitted assigns;
  14. “Fastsat Ireland Website” means www.Fastsat Ireland.co.uk or such other address as is notified to You from time to time. For the purposes of these Terms and Conditions any website or web page referred to or accessed via link from the Fastsat Ireland Website shall be deemed to form part of the Fastsat Ireland Website;
  15. “Minimum Period” has the meaning given to it in clause 2.6;
  16. “Monthly Service Charge” means the amount payable by You to Fastsat Ireland on a monthly basis for receipt of the Service;
  17. “Peak time” is between the hours of ‪07.01am and 11.59 pm GMT/ UTC (08.01am and 00:59am BST) “Off peak” hours are between the hours of 00.00am and 07.00am ‪GMT/ UTC (01:00am and 08:00 am BST)
  18. The act by You purchasing Service and/or Equipment from Fastsat Ireland through the Fastsat Ireland website, by telephone or in person;
  19. “Peak” means between the hours of 07.01am and 11.59 pm GMT/ UTC (08.01am and 00:59am BST);
  20. “Property” means the address You have provided in the Registration Form or otherwise as being the address where the Equipment will be installed and the Services received;
  21. “Registration Form” means the Fastsat Ireland registration form submitted by You following Your purchase of the Service and Equipment and acceptance of echsign
  22. “Service” means the satellite broadband service package ordered by You and provided by Fastsat Ireland and all elements forming part of such service;
  23. “Software” means the software owned or licensed by Fastsat Ireland and used in connection with the Service and Equipment;
  24. “Supplemental Terms” means any specific terms attached to these Terms and Conditions and such terms and conditions (in addition to these Terms and Conditions) applicable to the provision of a particular website contained in the Fastsat Ireland Website (including without limitation the use of such website and the ordering of goods or services from such website) or the Service;
  25. “Third Party” means a person other than Fastsat Ireland or You;
  26. “Third Party Service” means those services and facilities provided by a Third Party in connection with the provision of the Service;
  27. “Upfront Charge” means the one-off payment required as part of Your Order.
  28. “User Documentation” means any brochures, pamphlets, instructions, manuals, Equipment standard operating user manuals and other documents, materials or information in any form in that Fastsat Ireland may provide or make available in relation to the Service or Equipment;
  29. “We” means Fastsat Ireland;
  30. “Year” means a period of 12 (twelve) months from the coming into effect of this Contract;
  31. “You” means the person or company identified as the customer in the Registration Form.

1.2 In these Terms and Conditions where the context admits the masculine, feminine or neuter gender respectively includes the other genders and references to the singular include the plural (and vice versa);

1.3 The headings and subheadings are inserted for convenience only and shall not affect the construction of these Terms and Conditions.

1.4 If any provision of the Contract is held to be illegal, void, invalid or unenforceable under the laws of any jurisdiction, the legality, validity and enforceability of the remainder of the Contract in that jurisdiction shall not be affected, and the legality, validity and enforceability of the whole of this Agreement in any other jurisdiction shall not be affected.

1.5 The Contract represents the entire agreement between You and Fastsat Ireland in relation to the subject matter and supersedes all other agreements or representations made by You or Fastsat Ireland whether oral or written.

  1. CONTRACT TERM AND PROVISION OF SERVICE

2.1 This Contract shall come into effect from the point at which You Order the Equipment and Services for Fastsat Ireland via telephone, online, in writing or in person. In placing Your Order You agree to make full payment of the Upfront Charge by credit or debit card or transfer.

2.2 Fastsat Ireland reserves the right to carry out a credit check on You. We may reject Your Order for some or all of the Services if such credit check is not satisfactory to Fastsat Ireland. Fastsat Ireland shall inform You of any such rejection 7 (seven) days from the date of Your Order and in this case Fastsat Ireland shall promptly refund any Upfront Charge paid by You.

2.3 Subject to You paying the Charges when due, Fastsat Ireland will provide You with the Services from the date that the Services are activated and until the Contract terminates in accordance with clause 8 or is cancelled in accordance with clause 2.4 below.

2.4 You have the right to cancel this Contract at any time up until the date that is (seven) 7 Business Days after the later of:

  1. Your receipt of the Equipment;
  2. the date of Your Order

(the “Cooling off Period”) by giving Fastsat Ireland notice in writing. If You exercise Your right of cancellation during the Cooling-off Period You shall remain liable for any Charges properly incurred by You up to an including the date of the disconnection and the cost of returning the Equipment to Fastsat Ireland.

2.5 The Contract is subject to the minimum period as stated for Your chosen Service on the Registration Form or as otherwise notified to You in writing (the “Minimum Period”). Subject to clause 2.5 above, You cannot cancel the Contract prior to the end of the Minimum Period. If Your Contract ends after the Cooling-off Period and during the Minimum Period, Fastsat Ireland reserves the right to charge You an early termination charge which will be calculated as the remaining Charges due for the Service You have ordered up until the end of the Minimum Period.

2.6 If the address at which You require the Service changes during the Minimum Period Fastsat Ireland will endeavour to but shall be under no obligation to provide You with Service at the new address. Where Fastsat Ireland agrees to provide the Service to Your new address, You shall pay Fastsat Ireland the applicable Charges for the de-installation and re-installation of the Equipment.

  1. EQUIPMENT AND INSTALLATION

3.1 In order to receive the Service, Your equipment must meet the required specifications notified to You by Fastsat Ireland from time to time either via the Fastsat Ireland Website, by electronic mail or by post. You should check that Your computer meets the required specification prior to the installation date.

3.2 Availability of the Service is subject to Fastsat Ireland being able to position a satellite antenna at Your Property with a clear view of the southern sky. If there is no such view or the satellite antenna is moved after installation it will be technically impracticable to provide the Service to You.

3.3 Upon Your payment, in full of the Upfront Charge, Fastsat Ireland shall agree a provisional installation date with You at a mutually convenient time during Business Hours. Fastsat Ireland will aim to confirm this booking with You via SMS or email (at Your election) within 48 (forty-eight) hours. Your installation date is not confirmed until You receive the confirmation SMS or email.

3.4 Fastsat Ireland aims to route its installers as efficiently as possible so Your location may have an impact on the installation date or time that We provide to You. If a mutually a convenient date within 45 (forty five) days of Fastsat Ireland’s receipt of Your Registration Form cannot be agreed upon, You shall be entitled to cancel Your Order. If You cancel Your Order in such circumstances, the Upfront Charge shall be refunded.

3.5 If You need to change Your confirmed installation date You must give Fastsat Ireland no less than 48 (forty-eight) hours’ notice prior to the installation time and date by contacting the Fastsat Ireland customer support helpdesk on the number given either on the Fastsat Ireland Website or in the User Documentation.

3.6 If Fastsat Ireland or its subcontractor is unable to access Your Property at the agreed installation time and date then You agree that Fastsat Ireland shall be entitled to charge You £99 to cover its reasonable costs in attending Your Property.

3.7 Fastsat Ireland’s installers will need to work both internally and externally at Your Property for which they will require suitable access. You agree to provide Fastsat Ireland and its subcontractors reasonable access to Your Property for the purpose of installing the Equipment. You shall be responsible for obtaining all consents, licences, permissions and approvals necessary for the installation of the Equipment at the Property and shall indemnify Fastsat Ireland against any liability, damages, claims, costs and expenses arising from Your failure to do so.

3.8 In addition to Your obligations under clause 3.7 above, prior to installation of the Equipment You agree to:

  1. complete a virus check on Your computer; and
  2. back-up any data and close down Your computer.

3.9 Fastsat Ireland shall own the Equipment until You have paid the final Monthly Service Charge at the end of the Minimum Period of Your Contract. Fastsat Ireland reserves the right to recover the Equipment if the Service is cancelled by You or Fastsat Ireland before the end of the Minimum Period.

3.10 You will be solely responsible for all risk in the Equipment from the date that it is installed. This includes being responsible for insuring the Equipment against loss or damage.

3.11 The Equipment comes with twelve (12) calendar month warranty from the date that it is installed at Your Property and Fastsat Ireland will choose to either repair or replace (with new or refurbished Equipment) any faulty Equipment within this time.

3.12 If You discover a fault with the Equipment You must report this to the Fastsat Ireland customer support desk on the number given as soon as possible on the Fastsat Ireland Website or contained within the User Documentation. The warranty does not cover any fault or damage to the Equipment which is as a result of:

  1. Your negligence or any failure by You to follow Fastsat Ireland’s reasonable oral or written instructions or any User Documentation as to the storage, use or maintenance of the Equipment; or
  2. any modification, altering or repairing of the Equipment other than by Fastsat Ireland or its authorised subcontractor; or
  3. Your misuse of the Equipment, or accidental or deliberate or other damage caused after installation of the Equipment; or
  4. fair wear and tear; or
  5. Your use of any equipment not supplied by Fastsat Ireland with with the Equipment.
  1. YOUR USE OF THE SERVICE

4.1 You are registered as the primary user of the Service and are responsible for all activities that occur when using the Service via the IP address, account SAP code and (if applicable) any user name or password or other access code. It is Your responsibility to ensure that all users of Your account comply with the terms of this Contract.

4.2 You must not use the Service to post, publish, upload, distribute, transmit, re-transmit or store any material which is in violation of any applicable law or regulation and You agree to comply with the terms of the Acceptable Use Policy and any other User Documentation when using the Service. Notwithstanding the foregoing, Fastsat Ireland undertakes no obligation to monitor the Service for such material.

4.3 Your Service is subject to a monthly maximum Data Allowance. If You exceed this Data Allowance during in any one month, You will be charged the GB Excess Charge for each additional 1GB used above Your Data Allowance (usage is rounded up to the near whole GB);

4.4 You acknowledge that the Service is supplied on a shared basis and that Your use of the Service or use of the Service by others may affect Your level of access.

4.5 You must not use the Service to send spam messages. If You are in breach of this clause Fastsat Ireland reserves the right at its absolute discretion to suspend or end the Services and/or charge You in relation to Your misuse.

4.6 You undertake to use the Service and Equipment in accordance with the User Documentation and not to modify or alter in any way any components without the prior approval of Fastsat Ireland. You further acknowledge that any unapproved modifications or alterations resulting in Service failure shall be repaired at Your expense.

4.7 The Service allows You to access the Internet. The Internet is separate from the Service and use of the Internet is at Your own risk and subject to any applicable laws or regulations. Fastsat Ireland has no responsibility for any goods, services, information, software, or other materials You obtain when using the Internet. You are responsible in all circumstances for determining the suitability, quality, legality or lawfulness of accessing, viewing or downloading any material from the Internet.

4.8 Title, ownership and intellectual property rights in and to the content accessed using the Service belong to the applicable content owner and may be protected by applicable copyright or other Law. This Contract does not give You any rights to such content.

4.9 You will indemnify Fastsat Ireland and any Third Party Service suppliers against actual or potential claims or legal proceedings against Fastsat Ireland or such Third Party Service suppliers by any person because of Your use of the Service and/or the Equipment in breach of this Contract. Fastsat Ireland shall notify You of any such claims or proceedings and inform You regularly as to the progress of such claims and proceedings.

4.10 Fastsat Ireland reserves the right to refuse, limit or cancel the Service if You have displayed unreasonable behaviour or are deemed to be violent, abusive or disruptive towards Fastsat Ireland’s customers, personnel or agents.

  1. SERVICE AVAILABILITY, FAULTS AND FAULT REPORTING

5.1 The Equipment is connected to Your local network and Fastsat Ireland is only responsible for any faults which occur with the Service up to the communications port on the Equipment.

5.2 It is technically impractical to provide the Service free of defect, faults or impairment and Fastsat Ireland does not undertake to do so. Fastsat Ireland will provide the Service with the reasonable skill and care of a competent telecommunications service provider. In the event of a fault in the Service, You should report it as promptly as possible by telephone to the customer support number or email address as published on the Fastsat Ireland Website or contained in the User Documentation.

5.3 On receipt of a fault report, Fastsat Ireland will use all reasonable endeavours to advise You how to correct the fault You agree to provide Fastsat Ireland with all necessary and reasonable assistance, including providing any requested data with regard to any fault reported to Fastsat Ireland.

5.4 Fastsat Ireland will not be responsible for any fault arising from:

  1. Your negligence, tampering with the Equipment, or Your wilful acts or omissions;
  2. Your failure to follow Fastsat Ireland’s reasonable instructions or the User Documentation;
  3. any breach of this Contract by You;
  4. the failure or malfunction of Your equipment or another service;
  5. any delay or failure to provide the Service or any damage to the Equipment caused in whole or in part by events beyond the reasonable control of Fastsat Ireland. These events may include (but are not limited to) adverse weather conditions, epidemic, civil disorder, terrorist activity, war and government action.

5.5 In the event that You report a fault due to one of the reasons set out in clause 5.3(a) to (d) above, Fastsat Ireland may recover from You its reasonable costs incurred in remedying the fault.

5.6 Due to the nature of the Internet, Fastsat Ireland does not warrant that Your use of the Service will be uninterrupted or that any messages or information transmitted via the Service will be transmitted accurately, reliably, in a timely manner or at all.

5.7 You acknowledge the following non-exhaustive list of technical limits relating to the Service:

  1. the Service may affect the performance and/or speed of other telecommunications services and other equipment at the Property;
  2. the access rate of the Service specified on the Registration Form may be reduced by contention with other Internet networks; and
  3. some technical limitations of the Service may not become apparent for some time after activation in which case the Service may need to be suspended or withdrawn.
  4. Fastsat Ireland will use all reasonable endeavours to keep You notified of any further limitations either via the Fastsat Ireland Website or otherwise.

5.8 Fastsat Ireland reserves the right to change telephone access or code numbers or user names or passwords or the specifications of the Service from time to time where it reasonably believes it is required to do so.

  1. PAYMENT OF CHARGES

6.1 Time is of the essence with regard to payment of the Charges under the Contract. If You do not pay any Charges when they fall due, You accept that You are in breach of this Contract and Fastsat Ireland has the right to terminate the Contract. This is in addition to any other legal rights We may have against You;

6.2 The Upfront Charge is payable in full by debit card or credit card prior to delivery of the Equipment and Installation.

6.3 The Charges applicable to the Service and Equipment You have ordered are as set out on the Registration Form or as otherwise notified to You and shall be exclusive of VAT unless otherwise stated on the Registration Form.

6.4 The Monthly Service Charges and the GB Excess Charge (if applicable) will be made by You in full and without deduction or set-off to Fastsat Ireland account using direct debit as agreed by You and set out on Your Registration Form. Any variation to the account details provided by You must be notified to Fastsat Ireland at least 30 (thirty) days in advance of any expected Charges being invoiced.

6.5 You shall be invoiced on the 1st (first) Business Day of the month and Your payment by direct debit shall be take on the 15th (fifteenth) day of the month, or, if the 15th (fifteenth) day of the month is not a Business Day, on the next Business Day thereafter.

6.6 Fastsat Ireland may increase the Charges at any time after the end of the Minimum Period but no more than once during each Year of the Contract by giving You at least one (1) month’s notice in writing.

6.7 If You fail to pay any Charges, Fastsat Ireland reserves the right to issue You with a reminder by Fastsat Ireland and to suspend Your Service. In the event that You fail to pay the Charges due Fastsat Ireland may terminate Your Service. This does not affect any other legal right or action Fastsat Ireland may have against You, including the right to charge interest on any unpaid amounts.

6.8 You acknowledge that You may be subject to Fastsat Ireland’s credit management procedures and that Fastsat Ireland may, under certain circumstances, require You to pay a deposit or provide a guarantee as security for payment of future bills.

  1. SERVICE SUSPENSION AND ACCESS CONTROL

7.1 Fastsat Ireland reserves the right to block or restrict Your access to the Service or to edit, refuse or remove any material posted by You which in its reasonable opinion it determines may give rise to a breach of his Contract or to protect the network and maintain the quality of the Fastsat Ireland services received by other users. For the avoidance of doubt, where Fastsat Ireland has received a complaint relating to any material published or transmitted via the Service, Fastsat Ireland shall be entitled (but not obliged) to act as aforesaid without investigating the merits of such complaint.

7.2 Fastsat Ireland may modify, alter or temporarily suspend the Service, or part of it, to the extent necessary to carry out maintenance, technical repair, enhancement or emergency work. Fastsat Ireland will use reasonable efforts to try to minimise the impact of this on Your use of the Service and will, where possible, notify You in advance of any anticipated maintenance.

7.3 Additionally, Fastsat Ireland may at any time modify or otherwise alter the Service in the event that it is required to do so for technical or regulatory reasons.

  1. TERMINATION AND CANCELLATION

8.1 Either You or Fastsat Ireland may end this Contract and provision of the Services by giving the other party one (1) calendar month’s notice in writing at any time after the end of the Minimum Period.

8.2 Fastsat Ireland reserves the right to suspend the Service or terminate this Contract forthwith by giving written notice if:

  1. You breach any term of this Contract, including the AUP; or
  2. if You fail to pay the Charges when due; or
  3. if You or anyone You authorise to deal with Fastsat Ireland on Your behalf, acts in a way towards any Fastsat Ireland employee, agent or subcontractor which Fastsat Ireland reasonably considers to be inappropriate; or
  4. in the event of bankruptcy or insolvency proceedings being brought against You, or an arrangement with creditors is made, or a receiver or administrator is appointed over any of Your assets, or You become bankrupt or go into liquidation.

8.3 You are entitled to cancel Your Contract during the Cooling-Off Period subject to the terms of clause 2.5.

8.4 You are also entitled to cancel Your Contract if Fastsat Ireland is unable achieve installation due to the Equipment being unable to pick up a signal at Your Property.

8.5 Unless otherwise specifically provided for herein, where this Contract is terminated by either You or Fastsat Ireland, You will be liable to pay to Fastsat Ireland:

  1. any Charges due but unpaid at the date of cancellation or termination; and
  2. if the Contract is cancelled prior to the end of the Minimum Period (with the exception of cancellations made under clauses 8.3 or 8.4 above), an amount equal to the Monthly Service Charges payable for the Minimum Period less the amount of Monthly Service Charges already paid by You; and
  3. any other cancellation or termination Charges referred to in the Registration Form or as otherwise notified to You.

8.6 In the event of termination by Fastsat Ireland or You prior to the end of the Minimum Period, unless You pay the outstanding Monthly Services Charges up until the end of the Minimum Period, Fastsat Ireland reserves the right to recover the Equipment from Your Property. Where this is not reasonably possible or the Equipment is damaged or unusable Fastsat Ireland reserves the right to charge You an amount equal to any outstanding Equipment Charge in addition to any other amounts due hereunder.

  1. FIBRE BUY-BACK GUARANTEE

9.1 In the event that, during the Minimum Period, You are able to receive fibre optic broadband from BT and wish to change suppliers, You may do so subject to the following terms:

  1. You must provide Fastsat Ireland with at least 3 (three) months written notice of Your intention to cancel the Services under this specific clause of the Terms and Conditions.
  2. You must provide evidence of Your new contract with BT for fibre optic broadband. This should be in the form of a letter or some other form of confirmation from BT confirming that it will be the supplier of fibre optic broadband to You at the Property set out in the Registration Form; and
  3. Fastsat Ireland shall be entitled to recover the Equipment or invoice You for the cost of the Equipment in accordance with clause 8.4.
  1. YOUR DATA

10.1 It is Your responsibility to ensure that any information provided by You is complete, accurate, true and correct and You must keep this information up-to-date by notifying Fastsat Ireland immediately of any changes. Fastsat Ireland will not be responsible for any failure to notify You where required to do so under this Contract due to Your failure to provide complete, accurate, true and correct information.

10.2 By submitting the Registration Form, You agree that Fastsat Ireland may use and share Your information within the Group or with its Third Party Service suppliers. The information You provide shall be used by Fastsat Ireland for account management purposes or to notify You of any Service updates, upgrades or other Service information or for internal marketing research purposes.

10.3 Fastsat Ireland may also share such information with credit reference or fraud prevention or other law enforcement agencies for use in credit decisions, fraud detection and prevention purposes or for the purposes of preventing or detecting crime or to safeguard national security.

10.4 In addition, Fastsat Ireland may provide information where required to do so in accordance with any law, regulation or court order.

10.5 All disclosures will be made in accordance with the Data Protection Act 1998 and any applicable data protection legislation.

10.6 We may record or monitor telephone calls in order to help us improve our services

  1. NOTICES AND COMPLAINTS

11.1 Fastsat Ireland may need to contact You to notify You know of any planned maintenance, Service updates or to provide You with notice under this Contract. You agree that this may be done by contacting at You at the email address, postal address or telephone number set out in Your Registration Form.

11.2 Unless otherwise stated, any notice given by You to Fastsat Ireland should be to the postal or email address given on the Fastsat Ireland Website or may be given by calling the customer support desk on the number given on the Fastsat Ireland Website or contained in the User Documentation. 11.3 Any information relevant to this Contract that may be varied over time will be detailed on our website www.Fastsat Ireland.co.uk .In the event that this address is changed for any reason, We will notify You of the new location.

11.4 If You have any complaints about the Services or Equipment, You can send these in writing to Fastsat Ireland at the email or postal address set out in clause 11.2 above.

  1. TRADEMARKS AND LOGOS

12.1 The images, logos and names on the Fastsat Ireland Website which identify Fastsat Ireland or Third Parties and their products and services are proprietary marks of Fastsat Ireland and/or the relevant Third Parties. Nothing contained in the Fastsat Ireland Website shall be deemed to confer on any person any licence or right from Fastsat Ireland or any Third Party with respect to any such image, logo or name.

  1. SUPPLEMENTAL TERMS

Where Your use of the Service is governed by Supplemental Terms You agree to be bound by such Supplemental Terms and such Supplemental Terms shall be deemed to form part of this Contract.

  1. DISCLAIMER

Fastsat Ireland does not control or endorse the content, views, messages or information found in any communication sent using the Service and, therefore, specifically disclaims any liability whatsoever with regard to the contents or transmission of any communication and any losses or damages whatsoever incurred by You as a result of the use thereof.

  1. LIMITATION OF LIABILITY

15.1 Fastsat Ireland is responsible to You only as set out in the Contract.

15.2 Fastsat Ireland excludes all liability for loss or damage to You or Your business due to unauthorised access, breach of security, virus or attack, via the Internet and/or the Service or otherwise to Your business or home systems, data, information or other materials. It is Your sole responsibility to protect Yourself in such manner as You think fit from such unauthorised access, security breach or attack.

15.3 Fastsat Ireland does not warrant the accuracy, content, quality, completeness, fitness for purpose or legality of any information or services accessed using the Service. Fastsat Ireland excludes all liability of any kind for the transmission or the reception of or the failure to transmit or to receive any material of whatever nature.

15.4 You may enter into or seek to enter into transactions with Third Parties in relation to the sale, rental or provision of goods and services via the Service. Fastsat Ireland will in no circumstances be a party to such transactions and will in no circumstances be liable whether in contract, tort (including liability for negligence), or otherwise for any loss, cost or damage incurred by You arising out of or in relation to the transaction or attempt to enter into a transaction (including but not limited to failure to transmit or distortion of any messages sent via the Service).

15.5 Fastsat Ireland does not warrant the availability of the Service or other Third Party services and shall have no liability whatsoever in relation to such availability or otherwise. The accessing and provision of information and Third Party services via the Service shall be subject to such Third Parties’ terms and conditions if any. You shall be responsible for complying with those terms and conditions and Fastsat Ireland shall have no liability whatsoever in relation to any Third Party service provider.

15.6 The information, Software, products and services (and related graphics) included in or available through the Fastsat Ireland Website, the Service or contained within the Equipment may include inaccuracies or typographical errors. Changes to the Fastsat Ireland Website and Service are made from time to time. Except as expressly set out in this Agreement, Fastsat Ireland makes no representations and gives no warranties (including implied warranties, terms and conditions) whatsoever relating to the suitability, reliability, availability, accuracy, timeliness, satisfactory quality, fitness for a particular purpose, lack of viruses or other harmful components of the information, Software, products and services (and related graphics) contained in or available via the Fastsat Ireland Website or the Service or the Equipment.

15.7 Fastsat Ireland shall have no liability whatsoever for any threatening, defamatory, obscene, offensive or illegal content of a Third Party website or for the conduct of any Third Party or any infringement of a Third Party’s rights. Fastsat Ireland shall have no liability whatsoever for any content sent using and/or included in the Fastsat Ireland Website or the Service by any Third Party

15.8 Nothing in these Terms and Conditions is intended to exclude or restrict Fastsat Ireland liability for death or personal injury caused by its negligence or for fraud.

15.9 Subject to clause 15.8, Fastsat Ireland shall not be liable for any indirect or consequential loss or damage or for loss of profits, goodwill, anticipated savings or reputation arising out of or in connection with the Service.

15.10 Subject to clause 15.8, in no event shall Fastsat Ireland be liable to You in respect of or in connection with the Service or Equipment whether in contract, tort (including without limitation negligence), breach of statutory duty, or otherwise exceed:

  1. £1,000 in relation to each event or series of related events which are the subject of any claim; and
  2. in aggregate in relation to all incidents arising in any Year, to the total Charges paid during the previous Year and, in respect of incidents arising in the first Year, the total Monthly Charges paid up to the date of the last claim.
  1. VARIATION

16.1 Fastsat Ireland may change any of the terms and conditions in this Contract if new laws or rules make it necessary or for any other good reason.

16.2 Fastsat Ireland retains the right to amend, modify or substitute these Terms and Conditions at any time. In the event of any material changes, Fastsat Ireland will endeavour to provide You with 30 (thirty) days’ notice in writing in advance of doing so. Any such modification, amendment or substitution will also be posted on the Fastsat Ireland website. If You do not object to the modification, amendment or substitution within 30 (thirty) days of us having notified You, the new Terms and Conditions in their entirety shall be deemed to supersede any and all preceding agreements between You and Fastsat Ireland.

  1. ASSIGNMENT

17.1 Fastsat Ireland may assign this Contract to any person, company or firm provided this does not materially adversely affect Your rights under this Contract.

17.2 This Contract is personal to You and You may not transfer or assign Your rights or obligations under this Contract to any other person, company or firm and no Third Party is entitled to benefit under this Contract unless otherwise stated herein.

  1. LAW

This Contract is governed by and shall be interpreted in accordance with the laws of England and the English courts shall have exclusive jurisdiction.

Pay As You Go Terms and Conditions

  1. Definitions and interpretation

1.1 In these Terms and Conditions the following terms shall have the following meanings:

  1. “Acceptable Use Policy” or “AUP” means the rules for use of the Service as published by Fastsat Ireland from time to time on the Fastsat Ireland Website. Fastsat Ireland may update the AUP from time to time by posting the revised AUP on the Fastsat Ireland Website whereupon You shall be bound by such revised AUP;
  2. “Business Day” means a day (other than a Saturday or Sunday) on which banks are open for general business in London;
  3. “Business Hours” means 8:30 am to 5:30 pm U.K. time on Business Days;
  4. “Charges” means all charges payable by You to Fastsat Ireland in connection with the supply of the Service and Equipment;
  5. “Cooling-off Period” shall have the meaning ascribed to it in clause 2.5
  6. “Contract” means the contract between You and Fastsat Ireland for the receipt by You of the Services and Equipment which shall include the Registration Form, these Terms and Conditions, any Supplemental Terms and the Acceptable Use Policy;
  7. “Data Allowance” the monthly data allowance included in Your Service as detailed in the Registration Form. Different allowances apply during Peak and Off Peak times.
  8. “Equipment Charge” means the charge payable by You to Fastsat Ireland for the Equipment;
  9. “Equipment” means the satellite antenna, receiver and any ancillary equipment supplied to You by Fastsat Ireland for You to receive the Service;
  10. “Extended Business Hours” means 8.00 am to 8.00 pm U.K. time on Business Days;
  11. “Group” means any holding company or ultimate holding company or subsidiary of Fastsat Ireland, and any subsidiary of any such holding company or ultimate holding company;
  12. “GB Excess Charge”the charge detailed in the Registration Form that applies per GB used in excess of Your Data Allowance in any one month;
  13. “Fastsat Ireland” means Fastsat Ireland Limited with company number 07933152 whose registered office is at Cobham House, 20 Black Friars Lane, London EC4V 6EB and shall include any member of its Group and any successors-in-title or permitted assigns;
  14. “Fastsat Ireland Website” means www.Fastsat Ireland.co.uk or such other address as is notified to You from time to time. For the purposes of these Terms and Conditions any website or web page referred to or accessed via link from the Fastsat Ireland Website shall be deemed to form part of the Fastsat Ireland Website;
  15. “Minimum Period” has the meaning given to it in clause 2.6;
  16. “Monthly Service Charge” means the amount payable by You to Fastsat Ireland on a monthly basis for receipt of the Service;
  17. “Off-Peak” means between the hours of 00:00am and 07:00am U.K time;
  18. “Order” is the act by You purchasing Service and/or Equipment from Fastsat Ireland through the Fastsat Ireland website, by telephone or in person;
  19. “Peak” means between the hours of 07.01am and 11.59pm U.K. time;
  20. “Property” means the address You have provided in the Registration Form or otherwise as being the address where the Equipment will be installed and the Services received;
  21. “Registration Form” means the Fastsat Ireland registration form submitted by You following Your purchase of the Service and Equipment;
  22. “Service” means the satellite broadband service package ordered by You and provided by Fastsat Ireland and all elements forming part of such service;
  23. “Software” means the software owned or licensed by Fastsat Ireland and used in connection with the Service and Equipment;
  24. “Supplemental Terms” means any specific terms attached to these Terms and Conditions and such terms and conditions (in addition to these Terms and Conditions) applicable to the provision of a particular website contained in the Fastsat Ireland Website (including without limitation the use of such website and the ordering of goods or services from such website) or the Service;
  25. “Third Party” means a person other than Fastsat Ireland or You;
  26. “Third Party Service” means those services and facilities provided by a Third Party in connection with the provision of the Service;
  27. “Upfront Charge” means the one-off payment required as part of Your Order.
  28. “User Documentation” means any brochures, pamphlets, instructions, manuals, Equipment standard operating user manuals and other documents, materials or information in any form in that Fastsat Ireland may provide or make available in relation to the Service or Equipment;
  29. “We” means Fastsat Ireland;
  30. “Year” means a period of 12 (twelve) months from the coming into effect of this Contract;
  31. “You” means the person or company identified as the customer in the Registration Form.

1.2 In these Terms and Conditions where the context admits the masculine, feminine or neuter gender respectively includes the other genders and references to the singular include the plural (and vice versa);

1.3 The headings and subheadings are inserted for convenience only and shall not affect the construction of these Terms and Conditions.

1.4 If any provision of the Contract is held to be illegal, void, invalid or unenforceable under the laws of any jurisdiction, the legality, validity and enforceability of the remainder of the Contract in that jurisdiction shall not be affected, and the legality, validity and enforceability of the whole of this Agreement in any other jurisdiction shall not be affected.

1.5 The Contract represents the entire agreement between You and Fastsat Ireland in relation to the subject matter and supersedes all other agreements or representations made by You or Fastsat Ireland whether oral or written.

  1. CONTRACT TERM AND PROVISION OF SERVICE

2.1 This Contract shall come into effect from the point at which You Order the Equipment and Services for Fastsat Ireland via telephone, online, in writing or in person. In placing Your Order You agree to make full payment of the Upfront Charge by credit or debit card.

2.2 Fastsat Ireland reserves the right to carry out a credit check on You. We may, at our sole discrection, reject Your Order for some or all of the Services if such credit check is not satisfactory to Fastsat Ireland. Fastsat Ireland shall inform You of any such rejection 7 (seven) days from the date of Your Order and in this case Fastsat Ireland shall promptly refund any Upfront Charge paid by You.

2.3 If You exercise Your right of cancellation during the Cooling-off Period, Fastsat Ireland will refund You the Upfront Charge in addition to any other amounts due hereunder.

2.4 However, if You agree to an installation date pursuant to clause 3.3 below and such installation is carried out, You will be deemed to have waived the Cooling off Period detailed in clause 2.2 above.

2.5 If the address at which You require the Service changes, Fastsat Ireland will endeavour to but shall be under no obligation to provide You with Service at the new address. Where Fastsat Ireland agrees to provide the Service to Your new address, You shall pay Fastsat Ireland the applicable Charges for the de-installation and re-installation of the Equipment.

  1. EQUIPMENT AND INSTALLATION

3.1 In order to receive the Service, Your equipment must meet the required specifications notified to You by Fastsat Ireland from time to time either via the Fastsat Ireland Website, by electronic mail or by post. You should check that Your computer meets the required specification prior to the installation date.

3.2 Availability of the Service is subject to Fastsat Ireland being able to position a satellite antenna at Your Property with a clear view of the southern sky. If there is no such view or the satellite antenna is moved after installation it will be technically impracticable to provide the Service to You.

3.3 Upon Your payment, in full of the Upfront Charge, Fastsat Ireland shall agree a provisional installation date with You at a mutually convenient time during Business Hours. Fastsat Ireland will aim to confirm this booking with You via SMS or email (at Your election) within 48 (forty-eight) hours. Your installation date is not confirmed until You receive the confirmation SMS or email.

3.4 Fastsat Ireland aims to route its installers as efficiently as possible so Your location may have an impact on the installation date or time that We provide to You. If a mutually a convenient date within 45 (forty five) days of Fastsat Ireland’s receipt of Your Registration Form cannot be agreed upon, You shall be entitled to cancel Your Order. If You cancel Your Order in such circumstances, the Upfront Charge shall be refunded.

3.5 If You need to change Your confirmed installation date You must give Fastsat Ireland no less than 48 (forty-eight) hours’ notice prior to the installation time and date by contacting the Fastsat Ireland customer support helpdesk on the number given either on the Fastsat Ireland Website or in the User Documentation.

3.6 If Fastsat Ireland or its subcontractor is unable to access Your Property at the agreed installation time and date then You agree that Fastsat Ireland shall be entitled to charge You £99 to cover its reasonable costs in attending Your Property.

3.7 Fastsat Ireland’s installers will need to work both internally and externally at Your Property for which they will require suitable access. You agree to provide Fastsat Ireland and its subcontractors reasonable access to Your Property for the purpose of installing the Equipment. You shall be responsible for obtaining all consents, licences, permissions and approvals necessary for the installation of the Equipment at the Property and shall indemnify Fastsat Ireland against any liability, damages, claims, costs and expenses arising from Your failure to do so.

3.8 In addition to Your obligations under clause 3.7 above, prior to installation of the Equipment You agree to:

  1. complete a virus check on Your computer; and
  2. back-up any data and close down Your computer.

3.9 Fastsat Ireland shall own the Equipment until You have paid the final Monthly Service Charge at the end of the Minimum Period of Your Contract. Fastsat Ireland reserves the right to recover the Equipment if the Service is cancelled by You or Fastsat Ireland before the end of the Minimum Period.

3.10 You will be solely responsible for all risk in the Equipment from the date that it is installed. This includes being responsible for insuring the Equipment against loss or damage.

3.11 The Equipment comes with twelve (12) calendar month warranty from the date that it is installed at Your Property and Fastsat Ireland will choose to either repair or replace (with new or refurbished Equipment) any faulty Equipment within this time.

3.12 If You discover a fault with the Equipment You must report this to the Fastsat Ireland customer support desk on the number given as soon as possible on the Fastsat Ireland Website or contained within the User Documentation. The warranty does not cover any fault or damage to the Equipment which is as a result of:

  1. Your negligence or any failure by You to follow Fastsat Ireland’s reasonable oral or written instructions or any User Documentation as to the storage, use or maintenance of the Equipment; or
  2. any modification, altering or repairing of the Equipment other than by Fastsat Ireland or its authorised subcontractor; or
  3. Your misuse of the Equipment, or accidental or deliberate or other damage caused after installation of the Equipment; or
  4. fair wear and tear; or
  5. Your use of any equipment not supplied by Fastsat Ireland with with the Equipment.
  1. YOUR USE OF THE SERVICE

4.1 You are registered as the primary user of the Service and are responsible for all activities that occur when using the Service via the IP address, account SAP code and (if applicable) any user name or password or other access code. It is Your responsibility to ensure that all users of Your account comply with the terms of this Contract.

4.2 You must not use the Service to post, publish, upload, distribute, transmit, re-transmit or store any material which is in violation of any applicable law or regulation and You agree to comply with the terms of the Acceptable Use Policy and any other User Documentation when using the Service. Notwithstanding the foregoing, Fastsat Ireland undertakes no obligation to monitor the Service for such material.

4.3 You acknowledge that the Service is supplied on a shared basis and that Your use of the Service or use of the Service by others may affect Your level of access.

4.4 You must not use the Service to send spam messages. If You are in breach of this clause Fastsat Ireland reserves the right at its absolute discretion to suspend or end the Services and/or charge You in relation to Your misuse.

4.5 You undertake to use the Service and Equipment in accordance with the User Documentation and not to modify or alter in any way any components without the prior approval of Fastsat Ireland. You further acknowledge that any unapproved modifications or alterations resulting in Service failure shall be repaired at Your expense.

4.6 The Service allows You to access the Internet. The Internet is separate from the Service and use of the Internet is at Your own risk and subject to any applicable laws or regulations. Fastsat Ireland has no responsibility for any goods, services, information, software, or other materials You obtain when using the Internet. You are responsible in all circumstances for determining the suitability, quality, legality or lawfulness of accessing, viewing or downloading any material from the Internet.

4.7 Title, ownership and intellectual property rights in and to the content accessed using the Service belong to the applicable content owner and may be protected by applicable copyright or other Law. This Contract does not give You any rights to such content.

4.8 You will indemnify Fastsat Ireland and any Third Party Service suppliers against actual or potential claims or legal proceedings against Fastsat Ireland or such Third Party Service suppliers by any person because of Your use of the Service and/or the Equipment in breach of this Contract. Fastsat Ireland shall notify You of any such claims or proceedings and inform You regularly as to the progress of such claims and proceedings.

4.9 Fastsat Ireland reserves the right to refuse, limit or cancel the Service if You have displayed unreasonable behaviour or are deemed to be violent, abusive or disruptive towards Fastsat Ireland’s customers, personnel or agents.

  1. SERVICE AVAILABILITY, FAULTS AND FAULT REPORTING

5.1 The Equipment is connected to Your local network and Fastsat Ireland is only responsible for any faults which occur with the Service up to the communications port on the Equipment.

5.2 It is technically impractical to provide the Service free of defect, faults or impairment and Fastsat Ireland does not undertake to do so. Fastsat Ireland will provide the Service with the reasonable skill and care of a competent telecommunications service provider. In the event of a fault in the Service, You should report it as promptly as possible by telephone to the customer support number or email address as published on the Fastsat Ireland Website or contained in the User Documentation.

5.3 On receipt of a fault report, Fastsat Ireland will use all reasonable endeavours to advise You how to correct the fault You agree to provide Fastsat Ireland with all necessary and reasonable assistance, including providing any requested data with regard to any fault reported to Fastsat Ireland.

5.4 Fastsat Ireland will not be responsible for any fault arising from:

  1. Your negligence, tampering with the Equipment, or Your wilful acts or omissions;
  2. Your failure to follow Fastsat Ireland’s reasonable instructions or the User Documentation;
  3. any breach of this Contract by You;
  4. the failure or malfunction of Your equipment or another service;
  5. any delay or failure to provide the Service or any damage to the Equipment caused in whole or in part by events beyond the reasonable control of Fastsat Ireland. These events may include (but are not limited to) adverse weather conditions, epidemic, civil disorder, terrorist activity, war and government action.

5.5 In the event that You report a fault due to one of the reasons set out in clause 5.3(a) to (d) above, Fastsat Ireland may recover from You its reasonable costs incurred in remedying the fault.

5.6 Due to the nature of the Internet, Fastsat Ireland does not warrant that Your use of the Service will be uninterrupted or that any messages or information transmitted via the Service will be transmitted accurately, reliably, in a timely manner or at all.

5.7 You acknowledge the following non-exhaustive list of technical limits relating to the Service:

  1. the Service may affect the performance and/or speed of other telecommunications services and other equipment at the Property;
  2. the access rate of the Service specified on the Registration Form may be reduced by contention with other Internet networks; and
  3. some technical limitations of the Service may not become apparent for some time after activation in which case the Service may need to be suspended or withdrawn.
  4. Fastsat Ireland will use all reasonable endeavours to keep You notified of any further limitations either via the Fastsat Ireland Website or otherwise.

5.8 Fastsat Ireland reserves the right to change telephone access or code numbers or user names or passwords or the specifications of the Service from time to time where it reasonably believes it is required to do so.

  1. PAYMENT OF CHARGES

6.1 The Upfront Charge is payable in full by debit card or credit card prior to delivery of the Equipment and installation.

6.2 The Charges applicable to the Service and Equipment You have ordered are as set out on the Registration Form or as otherwise notified to You and shall be exclusive of VAT unless otherwise stated on the Registration Form.

6.3 Fastsat Ireland may increase the charges for Credit at any time after the expiry of 1 (one) Year from the date of your Order by giving You at least one (1) month’s notice in writing.

6.4 The minimum payment for Credit for the Service is £10.00 for 1GB.

6.5 Credit purchased for the Service expires 30 (thirty) days from the date of purchase.

6.6 Whenever a Credit payment is made, the validity of any existing Credit held by You at the time of payment will be extended until the expiration of the most recently purchased Credit.

6.7 Fastsat Ireland will not repay any Credit You purchase or pay You any interest on any Credit you have in Your account.

6.8 Payments for Credit can be made by calling the Fastsat Ireland Customer Care Team on 0044 (0) 844 225 3983 between 8.30am and 6.30pm, Monday to Friday.

  1. SERVICE SUSPENSION AND ACCESS CONTROL

7.1 Fastsat Ireland reserves the right to block or restrict Your access to the Service or to edit, refuse or remove any material posted by You which in its reasonable opinion it determines may give rise to a breach of his Contract or to protect the network and maintain the quality of the Fastsat Ireland services received by other users. For the avoidance of doubt, where Fastsat Ireland has received a complaint relating to any material published or transmitted via the Service, Fastsat Ireland shall be entitled (but not obliged) to act as aforesaid without investigating the merits of such complaint.

7.2 Fastsat Ireland may modify, alter or temporarily suspend the Service, or part of it, to the extent necessary to carry out maintenance, technical repair, enhancement or emergency work. Fastsat Ireland will use reasonable efforts to try to minimise the impact of this on Your use of the Service and will, where possible, notify You in advance of any anticipated maintenance.

7.3 Additionally, Fastsat Ireland may at any time modify or otherwise alter the Service in the event that it is required to do so for technical or regulatory reasons.

  1. TERMINATION AND CANCELLATION

8.1 Either You or Fastsat Ireland may end this Contract and provision of the Services by giving the other party one (1) calendar month’s notice in writing at any time after the end of the Minimum Period.

8.2 Fastsat Ireland reserves the right to suspend the Service or terminate this Contract forthwith by giving written notice if:

  1. You breach any term of this Contract, including the AUP; or
  2. if You or anyone You authorise to deal with Fastsat Ireland on Your behalf, acts in a way towards any Fastsat Ireland employee, agent or subcontractor which Fastsat Ireland reasonably considers to be inappropriate; or
  3. in the event of bankruptcy or insolvency proceedings being brought against You, or an arrangement with creditors is made, or a receiver or administrator is appointed over any of Your assets, or You become bankrupt or go into liquidation.

8.3 You are entitled to cancel Your Contract during the Cooling-Off Period subject to the terms of clause 2.5.

8.4 You are also entitled to cancel Your Contract if Fastsat Ireland is unable achieve installation due to the Equipment being unable to pick up a signal at Your Property.

8.5 Unless otherwise specifically provided for herein, where this Contract is terminated by either You or Fastsat Ireland, You will be liable to pay to Fastsat Ireland:

  1. any other cancellation or termination Charges referred to in the Registration Form or as otherwise notified to You.

8.6 In the event of termination by Fastsat Ireland or You prior to the end of the Minimum Period, unless You pay the outstanding Monthly Services Charges up until the end of the Minimum Period, Fastsat Ireland reserves the right to recover the Equipment from Your Property. Where this is not reasonably possible or the Equipment is damaged or unusable Fastsat Ireland reserves the right to charge You an amount equal to any outstanding Equipment Charge in addition to any other amounts due hereunder.

  1. YOUR DATA

9.1 It is Your responsibility to ensure that any information provided by You is complete, accurate, true and correct and You must keep this information up-to-date by notifying Fastsat Ireland immediately of any changes. Fastsat Ireland will not be responsible for any failure to notify You where required to do so under this Contract due to Your failure to provide complete, accurate, true and correct information.

9.2 By submitting the Registration Form, You agree that Fastsat Ireland may use and share Your information within the Group or with its Third Party Service suppliers. The information You provide shall be used by Fastsat Ireland for account management purposes or to notify You of any Service updates, upgrades or other Service information or for internal marketing research purposes.

9.3 Fastsat Ireland may also share such information with credit reference or fraud prevention or other law enforcement agencies for use in credit decisions, fraud detection and prevention purposes or for the purposes of preventing or detecting crime or to safeguard national security.

9.4 In addition, Fastsat Ireland may provide information where required to do so in accordance with any law, regulation or court order.

9.5 All disclosures will be made in accordance with the Data Protection Act 1998 and any applicable data protection legislation.

9.6 We may record or monitor telephone calls in order to help us improve our services

  1. NOTICES AND COMPLAINTS

10.1 Fastsat Ireland may need to contact You to notify You know of any planned maintenance, Service updates or to provide You with notice under this Contract. You agree that this may be done by contacting at You at the email address, postal address or telephone number set out in Your Registration Form.

10.2 Unless otherwise stated, any notice given by You to Fastsat Ireland should be to the postal or email address given on the Fastsat Ireland Website or may be given by calling the customer support desk on the number given on the Fastsat Ireland Website or contained in the User Documentation. 10.3 Any information relevant to this Contract that may be varied over time will be detailed on our website www.Fastsat Ireland.co.uk .In the event that this address is changed for any reason, We will notify You of the new location.

10.4 If You have any complaints about the Services or Equipment, You can send these in writing to Fastsat Ireland at the email or postal address set out in clause 11.2 above.

  1. TRADEMARKS AND LOGOS

11.1 The images, logos and names on the Fastsat Ireland Website which identify Fastsat Ireland or Third Parties and their products and services are proprietary marks of Fastsat Ireland and/or the relevant Third Parties. Nothing contained in the Fastsat Ireland Website shall be deemed to confer on any person any licence or right from Fastsat Ireland or any Third Party with respect to any such image, logo or name.

  1. SUPPLEMENTAL TERMS

Where Your use of the Service is governed by Supplemental Terms You agree to be bound by such Supplemental Terms and such Supplemental Terms shall be deemed to form part of this Contract.

  1. DISCLAIMER

Fastsat Ireland does not control or endorse the content, views, messages or information found in any communication sent using the Service and, therefore, specifically disclaims any liability whatsoever with regard to the contents or transmission of any communication and any losses or damages whatsoever incurred by You as a result of the use thereof.

  1. LIMITATION OF LIABILITY

14.1 Fastsat Ireland is responsible to You only as set out in the Contract.

14.2 Fastsat Ireland excludes all liability for loss or damage to You or Your business due to unauthorised access, breach of security, virus or attack, via the Internet and/or the Service or otherwise to Your business or home systems, data, information or other materials. It is Your sole responsibility to protect Yourself in such manner as You think fit from such unauthorised access, security breach or attack.

14.3 Fastsat Ireland does not warrant the accuracy, content, quality, completeness, fitness for purpose or legality of any information or services accessed using the Service. Fastsat Ireland excludes all liability of any kind for the transmission or the reception of or the failure to transmit or to receive any material of whatever nature.

14.4 You may enter into or seek to enter into transactions with Third Parties in relation to the sale, rental or provision of goods and services via the Service. Fastsat Ireland will in no circumstances be a party to such transactions and will in no circumstances be liable whether in contract, tort (including liability for negligence), or otherwise for any loss, cost or damage incurred by You arising out of or in relation to the transaction or attempt to enter into a transaction (including but not limited to failure to transmit or distortion of any messages sent via the Service).

14.5 Fastsat Ireland does not warrant the availability of the Service or other Third Party services and shall have no liability whatsoever in relation to such availability or otherwise. The accessing and provision of information and Third Party services via the Service shall be subject to such Third Parties’ terms and conditions if any. You shall be responsible for complying with those terms and conditions and Fastsat Ireland shall have no liability whatsoever in relation to any Third Party service provider.

14.6 The information, Software, products and services (and related graphics) included in or available through the Fastsat Ireland Website, the Service or contained within the Equipment may include inaccuracies or typographical errors. Changes to the Fastsat Ireland Website and Service are made from time to time. Except as expressly set out in this Agreement, Fastsat Ireland makes no representations and gives no warranties (including implied warranties, terms and conditions) whatsoever relating to the suitability, reliability, availability, accuracy, timeliness, satisfactory quality, fitness for a particular purpose, lack of viruses or other harmful components of the information, Software, products and services (and related graphics) contained in or available via the Fastsat Ireland Website or the Service or the Equipment.

14.7 Fastsat Ireland shall have no liability whatsoever for any threatening, defamatory, obscene, offensive or illegal content of a Third Party website or for the conduct of any Third Party or any infringement of a Third Party’s rights. Fastsat Ireland shall have no liability whatsoever for any content sent using and/or included in the Fastsat Ireland Website or the Service by any Third Party

14.8 Nothing in these Terms and Conditions is intended to exclude or restrict Fastsat Ireland liability for death or personal injury caused by its negligence or for fraud.

14.9 Subject to clause 15.8, Fastsat Ireland shall not be liable for any indirect or consequential loss or damage or for loss of profits, goodwill, anticipated savings or reputation arising out of or in connection with the Service.

14.10 Subject to clause 15.8, in no event shall Fastsat Ireland be liable to You in respect of or in connection with the Service or Equipment whether in contract, tort (including without limitation negligence), breach of statutory duty, or otherwise exceed:

  1. £1,000 in relation to each event or series of related events which are the subject of any claim; and
  2. in aggregate in relation to all incidents arising in any Year, to the total Charges paid during the previous Year and, in respect of incidents arising in the first Year, the total Monthly Charges paid up to the date of the last claim.
  1. VARIATION

15.1 Fastsat Ireland may change any of the terms and conditions in this Contract if new laws or rules make it necessary or for any other good reason.

15.2 Fastsat Ireland retains the right to amend, modify or substitute these Terms and Conditions at any time. In the event of any material changes, Fastsat Ireland will endeavour to provide You with 30 (thirty) days’ notice in writing in advance of doing so. Any such modification, amendment or substitution will also be posted on the Fastsat Ireland website. If You do not object to the modification, amendment or substitution within 30 (thirty) days of us having notified You, the new Terms and Conditions in their entirety shall be deemed to supersede any and all preceding agreements between You and Fastsat Ireland.

  1. ASSIGNMENT

16.1 Fastsat Ireland may assign this Contract to any person, company or firm provided this does not materially adversely affect Your rights under this Contract.

16.2 This Contract is personal to You and You may not transfer or assign Your rights or obligations under this Contract to any other person, company or firm and no Third Party is entitled to benefit under this Contract unless otherwise stated herein.

  1. LAW

This Contract is governed by and shall be interpreted in accordance with the laws of England and the English courts shall have exclusive jurisdiction as well as Ireland and Irish courts.
